The meeting did achieve a quorum with 2010 at 7: 10PM, mst in the Auditorium Room of the Sheldon Richins Building, 6505 N. Landmark Drive, Park City, Utah a total of 169 votes represented (140 votes were needed for a quorum)


Howard Butt, President of our HOA, opened the meeting, welcomed all in attendance and thanked the Owners for coming together as 2010 at 7: 10PM, mst in the Auditorium Room of the Sheldon Richins Building, 6505 N. Landmark Drive, Park City, Utah a community for the meeting. He mentioned that we would conduct the meeting in a fair and orderly manner in accordance with the Agenda.


Howie gave an overview of the HOA activities over the 2010 at 7: 10PM, mst in the Auditorium Room of the Sheldon Richins Building, 6505 N. Landmark Drive, Park City, Utah past year, communications with the Owners and other general information summarized as follows:


- There are 270 individual residential homes/ units in the community plus the commercial office

building. According to the information provided to 2010 at 7: 10PM, mst in the Auditorium Room of the Sheldon Richins Building, 6505 N. Landmark Drive, Park City, Utah the HOA, we have 58 full time residents,

12 units are rented to full time tenants and 200 units are second homes for their Owners.


- Owners / Members come from 26 different states, Canada and 2010 at 7: 10PM, mst in the Auditorium Room of the Sheldon Richins Building, 6505 N. Landmark Drive, Park City, Utah Mexico.


- Sixteen (16) previous Owners sold their Bear Hollow homes in 2010 and the community

welcomed an equal number of new Owners.


- Since 2002 there have been 162 Owners who have sold their homes in Bear 2010 at 7: 10PM, mst in the Auditorium Room of the Sheldon Richins Building, 6505 N. Landmark Drive, Park City, Utah Hollow Village.

All Owners that have left have done so with their dues accounts in good standing with no dues

owed, illustrating the efficiency and diligence of our billing process and financial oversight.

periodic Newsletters, Community Notices sent with monthly dues invoices and by posting

Howie reported that the state of Utah has passed a new Law that requires all Homeowners Associations to establish a dedicated reserve savings account and to have a reserve 2010 at 7: 10PM, mst in the Auditorium Room of the Sheldon Richins Building, 6505 N. Landmark Drive, Park City, Utah study conducted to identify all contingencies that they should be saving for. Our HOA completed a comprehensive reserve study in 2006 and we have been saving diligently since that time with regular contributions 2010 at 7: 10PM, mst in the Auditorium Room of the Sheldon Richins Building, 6505 N. Landmark Drive, Park City, Utah to our savings reserves as part of our dues payments. Howie also explained that our reserve study categorized our future contingency expenses into the broad categories of Clubhouse needs / infrastructure needs 2010 at 7: 10PM, mst in the Auditorium Room of the Sheldon Richins Building, 6505 N. Landmark Drive, Park City, Utah / miscellaneous needs.


As the result of Bobsled Blvd. and Oslo Lane now being designated as County roads, the responsibility for future repairs and maintenance of these roads is no longer ours. comprise approximately 41% of the total roadway in the community, which probably translates into our infrastructure savings being over funded at this time. Bottom line is we are ahead of the new law with substantial reserves and a sound savings plan already in place.


Nick Mingo gave a Treasurers Report highlighted as follows: as 2010 at 7: 10PM, mst in the Auditorium Room of the Sheldon Richins Building, 6505 N. Landmark Drive, Park City, Utah of December 9, 2010 –


- our checking account has $9,195.53 in operating capital funds available


- there are additional undeposited funds totaling $3,184.34 also available.


- total Reserve savings funds are $180,423.74


All HOA funds are fully accounted for and 2010 at 7: 10PM, mst in the Auditorium Room of the Sheldon Richins Building, 6505 N. Landmark Drive, Park City, Utah we are in overall excellent financial condition.


Howie added that by the end of the year we will make additional Reserve contributions.

The Trustees will also be establishing a new Emergency Reserve savings account, since any funds in the current Reserve savings account, by law, can only be spent on the specific items 2010 at 7: 10PM, mst in the Auditorium Room of the Sheldon Richins Building, 6505 N. Landmark Drive, Park City, Utah they are dedicated to. If there was an unusual or emergency situation that required immediate funding the Emergency Fund would be in place to allow us to address the condition in a timely 2010 at 7: 10PM, mst in the Auditorium Room of the Sheldon Richins Building, 6505 N. Landmark Drive, Park City, Utah manner and within the new law guidelines. We will transfer $20,000.00 now to the new Emergency Fund and build it with monthly contributions to about $50,000.00 over time. Nick then provided a Developers Report. Hamlet still owns two single family building lots; they are being held to act as a staging area when construction of the final Lodge 2010 at 7: 10PM, mst in the Auditorium Room of the Sheldon Richins Building, 6505 N. Landmark Drive, Park City, Utah condo building begins. There is no definite plan yet from Hamlet as to when they will start the construction.

In response to an owner question, Nick advised there are some time limit 2010 at 7: 10PM, mst in the Auditorium Room of the Sheldon Richins Building, 6505 N. Landmark Drive, Park City, Utah deadlines associated with the building permit for the final Lodge building that might drive construction timelines, but they could also request an extension from Summit County.


Howie asked the Owners present 2010 at 7: 10PM, mst in the Auditorium Room of the Sheldon Richins Building, 6505 N. Landmark Drive, Park City, Utah if there were any questions on the information provided to this point in the meeting. With none raised, he then gave the meeting podium to Owner John Chambers to present information 2010 at 7: 10PM, mst in the Auditorium Room of the Sheldon Richins Building, 6505 N. Landmark Drive, Park City, Utah to the community on his recent activities as explained to the Owners in the letter he mailed to Owners just prior

to the meeting and to the Trustees in email communications 2010 at 7: 10PM, mst in the Auditorium Room of the Sheldon Richins Building, 6505 N. Landmark Drive, Park City, Utah.


John explained that his intentions were to assist the Trustees with their duties. He requested to meet with the Trustees in June but just met with Howie to tour the community and allow 2010 at 7: 10PM, mst in the Auditorium Room of the Sheldon Richins Building, 6505 N. Landmark Drive, Park City, Utah him to point out many issues that John felt were not being addressed correctly. John advised he pointed out over 25 specific issues that needed attention. He further stated that over half 2010 at 7: 10PM, mst in the Auditorium Room of the Sheldon Richins Building, 6505 N. Landmark Drive, Park City, Utah the issues were quickly addressed by Howie and remedied. At the conclusion of the community tour, John wanted to bring Howie over to the Redstone community to point out their maintenance and appearance 2010 at 7: 10PM, mst in the Auditorium Room of the Sheldon Richins Building, 6505 N. Landmark Drive, Park City, Utah as handled by Kimball Maintenance Company. Howie said he was familiar with Redstone and another trip there was not necessary. John mentioned that Kimball was the “very best maintenance company in 2010 at 7: 10PM, mst in the Auditorium Room of the Sheldon Richins Building, 6505 N. Landmark Drive, Park City, Utah Utah”. Owner Craig Hellmers asked John what he based that statement on- John replied that was his opinion.


John stated that Bear Hollow Village was overgrown with weeds and there was a lot of 2010 at 7: 10PM, mst in the Auditorium Room of the Sheldon Richins Building, 6505 N. Landmark Drive, Park City, Utah trash needing to be picked up at all times in the community. He compared Kimballs performance at Redstone stating their landscaping was in better condition than ours and there was no trash 2010 at 7: 10PM, mst in the Auditorium Room of the Sheldon Richins Building, 6505 N. Landmark Drive, Park City, Utah in their community. Owner Rich Mularski commented that he does a lot of work in Redstone and he would disagree with John’s comments since he see’s a lot of trash 2010 at 7: 10PM, mst in the Auditorium Room of the Sheldon Richins Building, 6505 N. Landmark Drive, Park City, Utah in Redstone that needs attention.


John continued to mention trash removal concerns in Bear Hollow Village. Several Owners interjected that if Owners see trash in the community they should “just pick it up 2010 at 7: 10PM, mst in the Auditorium Room of the Sheldon Richins Building, 6505 N. Landmark Drive, Park City, Utah and be done with it”. Owner Stan Kozlowski suggested that enough time was spent discussing trash pickup concerns and John should please move on.


John asked the Owners present to indicate by 2010 at 7: 10PM, mst in the Auditorium Room of the Sheldon Richins Building, 6505 N. Landmark Drive, Park City, Utah a show of hands how many of them had received the letter he mailed – about 25% of the owners present indicated they did receive the letter. John then mentioned that the letter sent 2010 at 7: 10PM, mst in the Auditorium Room of the Sheldon Richins Building, 6505 N. Landmark Drive, Park City, Utah by (Howie) the Board of Trustees was not factual or true in his opinion. John read an email he sent to the Trustees that outlined his efforts to solicit bids for 2010 at 7: 10PM, mst in the Auditorium Room of the Sheldon Richins Building, 6505 N. Landmark Drive, Park City, Utah the contracted community services we receive.


John explained that he contacted several companies and persons to solicit bids for their services to the community. John stated his work experience with the government has 2010 at 7: 10PM, mst in the Auditorium Room of the Sheldon Richins Building, 6505 N. Landmark Drive, Park City, Utah given him a good background in contracts. John provided an overview of the results of his independent bid solicitations, summarized as follows:

John stated he provided these companies with information from our Quickbooks online

accounting program for their review.


Owner David Goldberg asked John if it was correct that he 2010 at 7: 10PM, mst in the Auditorium Room of the Sheldon Richins Building, 6505 N. Landmark Drive, Park City, Utah had provided the above bidders with copies of the existing contracts for these services, John replied yes he did and that the contracts were “no secret and public knowledge”. David commented that 2010 at 7: 10PM, mst in the Auditorium Room of the Sheldon Richins Building, 6505 N. Landmark Drive, Park City, Utah in his business experiences and opinion it is not a sound practice to provide the existing contracts since of course they will come back with a lower bid to get the work. John took issue 2010 at 7: 10PM, mst in the Auditorium Room of the Sheldon Richins Building, 6505 N. Landmark Drive, Park City, Utah with Davids comments. David added that in his opinion it was totally inappropriate for John to solicit contracts for the HOA and to present himself as a representative of the Owners 2010 at 7: 10PM, mst in the Auditorium Room of the Sheldon Richins Building, 6505 N. Landmark Drive, Park City, Utah and the HOA since that is a function of the Trustees.


After John was allowed to speak for about 35 minutes it was suggested by the Owners present that the Trustees should be 2010 at 7: 10PM, mst in the Auditorium Room of the Sheldon Richins Building, 6505 N. Landmark Drive, Park City, Utah afforded the opportunity to add their comments to the above issues.


Howie started a rebuttal to John’s information with a general apology to the effect that the Trustees always try to be 2010 at 7: 10PM, mst in the Auditorium Room of the Sheldon Richins Building, 6505 N. Landmark Drive, Park City, Utah courteous and aware of individual Owners privacy rights, but in view of the information presented by John it might be necessary to state certain facts so that Owners can have 2010 at 7: 10PM, mst in the Auditorium Room of the Sheldon Richins Building, 6505 N. Landmark Drive, Park City, Utah a clear perspective on the validity of the information presented to them.

He further advised that at one point in time the Trustees appointed John a Subordinate Officer of the Association (in 2010 at 7: 10PM, mst in the Auditorium Room of the Sheldon Richins Building, 6505 N. Landmark Drive, Park City, Utah accordance with the By-Laws) in an effort to better utilize his offers of assistance to the Board. Regrettably, the Trustees found that to be an un-rewarding and difficult

experience, resulting in John being 2010 at 7: 10PM, mst in the Auditorium Room of the Sheldon Richins Building, 6505 N. Landmark Drive, Park City, Utah dismissed as a Subordinate Officer. After that, the friendship that Howie once shared with John deteriorated.


Jody Lodrick commented that the Trustees always act on community issues as a 2010 at 7: 10PM, mst in the Auditorium Room of the Sheldon Richins Building, 6505 N. Landmark Drive, Park City, Utah Board and no one individual makes decisions for the community. He added that the Trustees are all licensed professionals and Howie is a sworn by oath career law enforcement officer; we are all fully aware 2010 at 7: 10PM, mst in the Auditorium Room of the Sheldon Richins Building, 6505 N. Landmark Drive, Park City, Utah of our fiduciary duties and we take that responsibility very seriously. It is sometimes

demeaning and offensive to the Trustees to be accused of allowing “illegal” activities to occur and to continually be 2010 at 7: 10PM, mst in the Auditorium Room of the Sheldon Richins Building, 6505 N. Landmark Drive, Park City, Utah berated that everything we do is wrong / improper.


Susan Russell added that while she has had limited personal interaction with John she is also

disappointed in the continued inferences of not 2010 at 7: 10PM, mst in the Auditorium Room of the Sheldon Richins Building, 6505 N. Landmark Drive, Park City, Utah adhering to our fiduciary duties.


Greg Watkins stated that his dealings with John on Clubhouse issues had also deteriorated to a verbal confrontational state.


Nick Mingo expressed his deep concerns for the methodology 2010 at 7: 10PM, mst in the Auditorium Room of the Sheldon Richins Building, 6505 N. Landmark Drive, Park City, Utah used by John to solicit contract bids. The huge price swing (200,000 to 300,000) in bids for landscape and snow removal services by the companies contacted by John gave him serious concerns on the 2010 at 7: 10PM, mst in the Auditorium Room of the Sheldon Richins Building, 6505 N. Landmark Drive, Park City, Utah validity of those bids to actually perform in the community. He further added that John’s representations, in any capacity, to these contractors were troublesome.


Howie stated that the solicitation of the contracts 2010 at 7: 10PM, mst in the Auditorium Room of the Sheldon Richins Building, 6505 N. Landmark Drive, Park City, Utah by John, without the Board of Trustees knowledge or consent, was a serious concern for the Association and the Owners. He advised that when this information was мейд known to us 2010 at 7: 10PM, mst in the Auditorium Room of the Sheldon Richins Building, 6505 N. Landmark Drive, Park City, Utah by John, the Trustees contacted our attorney, Ryan Braithwaite, from the Salt Lake City law firm of Bennett, Tueller, Johnson & Deere.

( a specialization of the firm is contract law and HOA representation 2010 at 7: 10PM, mst in the Auditorium Room of the Sheldon Richins Building, 6505 N. Landmark Drive, Park City, Utah). Ryan was provided with a comprehensive overview of the information conveyed by John dealing with his contract solicitations. Ryan subsequently provided the Trustees with a legal opinion letter, which Howie read 2010 at 7: 10PM, mst in the Auditorium Room of the Sheldon Richins Building, 6505 N. Landmark Drive, Park City, Utah to the Owners present, stating in part the following:


“We are informed that John Chambers, who is not a member of the HOA’s elected Board of Trustees, has solicited several 2010 at 7: 10PM, mst in the Auditorium Room of the Sheldon Richins Building, 6505 N. Landmark Drive, Park City, Utah offers and bids from various service providers to furnish services for the HOA. We are aware that he has solicited offers and bids from providers of at least the following types of services without 2010 at 7: 10PM, mst in the Auditorium Room of the Sheldon Richins Building, 6505 N. Landmark Drive, Park City, Utah the Board of Trustees authorization: snow removal, landscaping, clubhouse management, and accounting. This practice is improper under the HOA’s governing documents, undermines the authority of the Board of Trustees, and is 2010 at 7: 10PM, mst in the Auditorium Room of the Sheldon Richins Building, 6505 N. Landmark Drive, Park City, Utah an affront to the dedicated Trustees who volunteer their time and efforts for the benefit of all of the members of the HOA.


The HOA, as you know, is governed by 2010 at 7: 10PM, mst in the Auditorium Room of the Sheldon Richins Building, 6505 N. Landmark Drive, Park City, Utah its Declaration of CCR’s, Bylaws and other documents. Section 4.01 of the Bylaws endows the Board of Trustees with general powers to govern the HOA.


^ In communities such as yours where the affairs 2010 at 7: 10PM, mst in the Auditorium Room of the Sheldon Richins Building, 6505 N. Landmark Drive, Park City, Utah of the HOA may only be conducted by the elected Board of Trustees- as a body and not by an individual – it has been this firms experience that it is extremely imprudent 2010 at 7: 10PM, mst in the Auditorium Room of the Sheldon Richins Building, 6505 N. Landmark Drive, Park City, Utah for individuals to solicit offers and bids from service providers without the authorization of the entire Board. For example, we are aware of an association that was threatened with a lawsuit after an 2010 at 7: 10PM, mst in the Auditorium Room of the Sheldon Richins Building, 6505 N. Landmark Drive, Park City, Utah HOA member, who was not on the Board and who was seeking retaliation against the Board, solicited bids for services. We are also aware of another association that incurred a debt of several thousand dollars when an HOA member solicited a bid from a service provider without the Boards authorization and 2010 at 7: 10PM, mst in the Auditorium Room of the Sheldon Richins Building, 6505 N. Landmark Drive, Park City, Utah the service provider believed it had received authorization to provide the requested services. To avoid protracted litigation with the service provider, the HOA paid the service provider and filed a lawsuit against the HOA 2010 at 7: 10PM, mst in the Auditorium Room of the Sheldon Richins Building, 6505 N. Landmark Drive, Park City, Utah member for reimbursement.


In sum, it is a violation of the HOA’s governing documents and, in our experience, completely inadvisable for a person who is not a member of the Board 2010 at 7: 10PM, mst in the Auditorium Room of the Sheldon Richins Building, 6505 N. Landmark Drive, Park City, Utah of Trustees (or to whom authority has not been properly delegated) to solicit bids for services for the HOA. Landmark Drive, Park City, Utah to liability and lawsuits created by the irresponsible acts of one homeowner should be of deep concern to the HOA and all its members.”

Howie suggested that the Owners should make their own conclusions. Landmark Drive, Park City, Utah contacted and was advised that no one from the Board had contacted them. Landmark Drive, Park City, Utah we did not contact the bidders; to do so would have given credibility to these inappropriate solicitations.


Howie explained that the Trustees have enacted a sound procedure which they follow when requesting bids from 2010 at 7: 10PM, mst in the Auditorium Room of the Sheldon Richins Building, 6505 N. Landmark Drive, Park City, Utah service providers. That procedure includes writing a letter of invitation to bid, on HOA letterhead, to the authorized company representative. Landmark Drive, Park City, Utah community will require from the bidder and it asks for individual costs per service based on the specifications provided, along with a total cost for their

The non selected companies are sent a letter thanking them for bidding but advising they were not selected at this time.

experienced a serious problem with Kimball improperly servicing their landscape and

Clubhouse Services –


The Clubhouse contract requires numerous services, in part -

Landmark Drive, Park City, Utah obtained the necessary licensing and certification at his own expense.

Landmark Drive, Park City, Utah less used times. When the Clubhouse is not fully staffed for the 6 heavy use months it is a requirement that the manager be at the Clubhouse several times each day to check 2010 at 7: 10PM, mst in the Auditorium Room of the Sheldon Richins Building, 6505 N. Landmark Drive, Park City, Utah things and keep things going, etc. He has to be there in the AM to open the pool / spa and be there in the PM every day to close things down. Landmark Drive, Park City, Utah is rented for a function Greg must be there - to greet and then secure the premises. Landmark Drive, Park City, Utah many, many repairs at no added cost to us that other managers would have called a contractor for and we would have incurred a bill.

Landmark Drive, Park City, Utah and community information” sign outside the Clubhouse when he is there because we felt it was providing a valuable service to existing Owners / potential Owners / guests in the community.

 

Greg spends numerous 2010 at 7: 10PM, mst in the Auditorium Room of the Sheldon Richins Building, 6505 N. Landmark Drive, Park City, Utah hours in the Clubhouse in addition to the hours he is contractually required to be there.  We also believe this is a great asset since his presence in the Clubhouse has almost 2010 at 7: 10PM, mst in the Auditorium Room of the Sheldon Richins Building, 6505 N. Landmark Drive, Park City, Utah totally eliminated mischief, theft, vandalism that we experienced in the past. 

 

Greg tries to limit his real estate actions to those hours when he is not on duty as the manager 2010 at 7: 10PM, mst in the Auditorium Room of the Sheldon Richins Building, 6505 N. Landmark Drive, Park City, Utah - any overlap of this activity is minimal.  We believe Greg's added presence at the Clubhouse at no cost to the HOA is a valuable benefit for us all - the Clubhouse 2010 at 7: 10PM, mst in the Auditorium Room of the Sheldon Richins Building, 6505 N. Landmark Drive, Park City, Utah is our most valued asset.   Greg has done an excellent job in maintaining and managing the Clubhouse and pool / spa areas.   He has saved us a lot of money by doing / fixing things way 2010 at 7: 10PM, mst in the Auditorium Room of the Sheldon Richins Building, 6505 N. Landmark Drive, Park City, Utah beyond what any other contracted manager would do.  The Clubhouse has never been in better appearance and condition - we have received numerous favorable comments on Greg and the Clubhouse from Owners 2010 at 7: 10PM, mst in the Auditorium Room of the Sheldon Richins Building, 6505 N. Landmark Drive, Park City, Utah.

 

The Trustees would request that Owners please consider this information and situation as we did in evaluating Greg’s Clubhouse performance and activities.


Accounting Services –

capability. This service was established to provide Owners with access to our financial

for about $1,000.00 per month less that the HOA now pays for “accounting and support

an hour for all “additional services” they would be asked to provide. These bids fail to

required for our Association to conduct business matters.

- lastly, Howie mentioned that his services to the HOA, as well as that of all the other

Landmark Drive, Park City, Utah save the community tens of thousands of dollars annually ( we do not pay for property manager services that the Trustees, especially Howie, are now providing). Landmark Drive, Park City, Utah to assist with the numerous administrative tasks he performs; he spends 2-4 hours time every day handling HOA matters, sometimes more time if necessary.

Landmark Drive, Park City, Utah of the Bear Claw Condominiums HOA in Bear Hollow Village, commented that he has been very impressed and pleased with the services provided by Howie and the Board. He thinks it is a good idea for us to periodically seek bids for our contracted services.

Landmark Drive, Park City, Utah on community matters and always found him available and ready to resolve what ever the issue was. Several other Owners мейд similar comments.

He also mentioned that the Trustees place considerable value in establishing good working relationships with contractors we hire. This builds pride in workmanship, familiarity and experience with the 2010 at 7: 10PM, mst in the Auditorium Room of the Sheldon Richins Building, 6505 N. Landmark Drive, Park City, Utah specific needs of the community and its Owners, and a mutual trust that only comes with time.

In a community such as ours, with so many second home out-of-state Owners, it 2010 at 7: 10PM, mst in the Auditorium Room of the Sheldon Richins Building, 6505 N. Landmark Drive, Park City, Utah is a safety and security concern for us to constantly be having unknown contractors in the community. It does not serve our reputation in the area well to always be 2010 at 7: 10PM, mst in the Auditorium Room of the Sheldon Richins Building, 6505 N. Landmark Drive, Park City, Utah looking to “fire” our contractors to just get low bidders, sometimes the low bidder is not necessarily the best choice. The dollar value of

Landmark Drive, Park City, Utah that Owners consider their own situations; do we all just annually seek out new car insurance / home insurance / health insurance providers annually, or do we stay with a company that has earned

Ann Sumner stated that the discussions at the meeting have saddened her. She has lived in the community for over 10 years and loves Bear Hollow. It 2010 at 7: 10PM, mst in the Auditorium Room of the Sheldon Richins Building, 6505 N. Landmark Drive, Park City, Utah is a great community.


Craig Hellmers mentioned that the dues we pay to our HOA is probably the lowest of any other Association in the area and that the services we get are a tremendous 2010 at 7: 10PM, mst in the Auditorium Room of the Sheldon Richins Building, 6505 N. Landmark Drive, Park City, Utah value for the price we pay.


Gail Priest, a new Owner in the community (for about 2 months) stated that she bought her unit with the clear impression that Bear Hollow Village was 2010 at 7: 10PM, mst in the Auditorium Room of the Sheldon Richins Building, 6505 N. Landmark Drive, Park City, Utah a beautiful community, well maintained and desirable. If John did not see things that way then maybe he should consider moving.


Tim Nemeckay asked John why he was bringing 2010 at 7: 10PM, mst in the Auditorium Room of the Sheldon Richins Building, 6505 N. Landmark Drive, Park City, Utah up many of the issues he did since they have all been addressed in the past and were found to be without merit.


(Note: for the benefit of the new Owners in the community - in 2010 at 7: 10PM, mst in the Auditorium Room of the Sheldon Richins Building, 6505 N. Landmark Drive, Park City, Utah 2007 another Owner raised issues regarding improper services to the HOA, especially accounting and support services. Landmark Drive, Park City, Utah brief, the CPA’s commented as follows:


The Schonbraun McCann Group CPA financial review of the Association records concluded-

Landmark Drive, Park City, Utah been reviewed and accounted for, no exceptions have been noted, also, the association’s record keeping of due’s collections and paid invoices are in excellent condition, and managed according to generally accepted accounting 2010 at 7: 10PM, mst in the Auditorium Room of the Sheldon Richins Building, 6505 N. Landmark Drive, Park City, Utah principals”.


Hamlet Homes CFO Susan Lister, who also reviewed the Association financial records, commented as follows-

“ ^ The auditors prepared a Reviewed Report. This is a much more in depth

(and invasive) look at 2010 at 7: 10PM, mst in the Auditorium Room of the Sheldon Richins Building, 6505 N. Landmark Drive, Park City, Utah the financial controls and records of the homeowners books than most associations have prepared. Photocopying expenses are a necessary cost of conducting any business.

Landmark Drive, Park City, Utah to communicate with the Owners, the Trustees, maintain daily communications with our contractors (Red Barn) in the community and to address any and all HOA matters in a timely manner. Landmark Drive, Park City, Utah phone bill is about $340.00 with well over half the charges HOA business related. He receives a $100.00 reimbursement monthly for HOA business calls. Landmark Drive, Park City, Utah and necessary expenses for any business operation.


Howie commented that if any Owner present thought any of these expenses were not appropriate he would extend his apology to the community and stop these 2010 at 7: 10PM, mst in the Auditorium Room of the Sheldon Richins Building, 6505 N. Landmark Drive, Park City, Utah expenses immediately. No Owner present thought these expenses were excessive or improper.

Landmark Drive, Park City, Utah Agenda, seconded by Brad Smith ; approved by the overwhelming majority of the Owners in attendance.


Jo Chambers stated it was necessary to discuss the noxious weed problem that she believes is present in 2010 at 7: 10PM, mst in the Auditorium Room of the Sheldon Richins Building, 6505 N. Landmark Drive, Park City, Utah the community. She commented that Red Barn is not adequately addressing this problem and we are facing fines from Summit County if it is not addressed properly. Howie commented that 2010 at 7: 10PM, mst in the Auditorium Room of the Sheldon Richins Building, 6505 N. Landmark Drive, Park City, Utah the HOA has never been fined for noxious weeds violations and Red Barn does take all necessary steps to eradicate weeds, but they are stubborn and a continuing problem that we 2010 at 7: 10PM, mst in the Auditorium Room of the Sheldon Richins Building, 6505 N. Landmark Drive, Park City, Utah are constantly addressing ( as most communities also do).


Nick commented that Hamlet Homes had responsibilities in the wetlands areas of the community that are fertile grounds for weed growth. Summit County officials have 2010 at 7: 10PM, mst in the Auditorium Room of the Sheldon Richins Building, 6505 N. Landmark Drive, Park City, Utah inspected our wetlands several times in the past and commented that our areas are in better shape with respect to weed problems than most other communities in the area.

In a final comment, Howie suggested that any further comments or suggestions on community issues could be brought 2010 at 7: 10PM, mst in the Auditorium Room of the Sheldon Richins Building, 6505 N. Landmark Drive, Park City, Utah to the attention of the Trustees at any time.


Returning to the meeting Agenda, parking concerns were discussed. Howie explained that with Bobsled Blvd. and Oslo Lane now being County roads we have had 2010 at 7: 10PM, mst in the Auditorium Room of the Sheldon Richins Building, 6505 N. Landmark Drive, Park City, Utah several discussions with County officials regarding allowing parking for residents and guests on these roads. The summer girls softball tournament in Park City and the associated rentals in Bear Hollow Village was discussed. The Trustees have been in contact with tournament officials to express our displeasures. It may be reduced to 1 week for 2011. This will certainly help the situation, but we must be better prepared for the 1 week when the groups will be in town.

Landmark Drive, Park City, Utah commented that Owners must make sure their renters are aware of the community rules and Owners must take stronger actions to advise and control their renters. Landmark Drive, Park City, Utah a Notice to the Owners to remind them of their responsibilities in that regard.


A review of 2010 expenses was conducted. Jo Chambers asked Nick for an explanation on why we have 2010 at 7: 10PM, mst in the Auditorium Room of the Sheldon Richins Building, 6505 N. Landmark Drive, Park City, Utah so much miscellaneous expense and to provide some examples of these types of expenses. Nick gave several examples. Landmark Drive, Park City, Utah manage the community, but it is impossible to identify every expense we will incur a year in advance. The 2011 budget was presented to the Owners by the Trustees. Howie also explained that a new Emergency Fund was included in the budget as previously mentioned. Landmark Drive, Park City, Utah left the money in our budget as a contingency in the event severe weather or other needs require these funds. Landmark Drive, Park City, Utah were added to infrastructure repair categories in the budget. There were no questions from the Owners present on the budget.


A Motion to accept the 2011 budget was мейд by David Goldberg, seconded by Craig 2010 at 7: 10PM, mst in the Auditorium Room of the Sheldon Richins Building, 6505 N. Landmark Drive, Park City, Utah Hellmers, and approved by the Owners. It was noted that John Chambers voted no.


The meeting was opened for nominations for Trustees. It was noted that Trustees Howard Butt, Joseph 2010 at 7: 10PM, mst in the Auditorium Room of the Sheldon Richins Building, 6505 N. Landmark Drive, Park City, Utah Lodrick and Nick Mingo are currently in year 2 of their elected 2 year terms of office.


Current Trustees Greg Watkins and Susan Russell were nominated by Howie for renewed 2 year terms of office, seconded 2010 at 7: 10PM, mst in the Auditorium Room of the Sheldon Richins Building, 6505 N. Landmark Drive, Park City, Utah by Brad Smith and approved by the Owners. It was noted that John Chambers voted no.


Stan Kozlowski stated that it would be a good idea for the Trustees to ask 2010 at 7: 10PM, mst in the Auditorium Room of the Sheldon Richins Building, 6505 N. Landmark Drive, Park City, Utah for Trustee nominations earlier and he suggested that a reminder be sent to the Owners around August to ask if anyone would like to be considered for Trustee election. Howie stated this 2010 at 7: 10PM, mst in the Auditorium Room of the Sheldon Richins Building, 6505 N. Landmark Drive, Park City, Utah was a good idea and more candidates to serve as Trustees would be welcomed.

Landmark Drive, Park City, Utah he does not want to have his name or good intentions associated with these emails. Landmark Drive, Park City, Utah these emails, in the interest of closure to this matter the Trustees are receptive to giving John the benefit of the doubt that he was not a party to the questionable 2010 at 7: 10PM, mst in the Auditorium Room of the Sheldon Richins Building, 6505 N. Landmark Drive, Park City, Utah emails and we have extended an apology to John accordingly.
